Understanding the 120 vs the 140

I am having one He77 of a time finding a 140 3.0 Merc for my boat. I have found a 120 that is very close.

Will the 120 interchange? I realize its going down in performance, but honestly, I don't care, I just want a running boat.

How about just the head? Will it interchange?

So I just put my 3.0 manifold on the 2.5 and she drops in as a direct replacement?
